BNK Connect Creator Network – Participation Agreement
By applying to join the BNK Connect Creator Network, you agree to the following terms of participation. Please read this agreement carefully before submitting your application. By proceeding, you confirm your understanding and acceptance of the terms outlined below.
1. PURPOSE
The purpose of this Agreement is to outline the terms and conditions under which the Creator participates in the BNK Connect Creator Network Program to produce and share brand-related content, campaigns, and promotional materials that align with BNK Connect’s mission, values, and brand tone.
2. TERM
This Agreement commences on the date of approval and continues for an initial term of six (6) months, after which it may be renewed or terminated in writing by either Party with 30 days’ notice.
3. SCOPE OF WORK
The Creator agrees to:
– Produce and publish content as outlined in campaign briefs provided by BNK Connect.
– Represent BNK Connect positively across all public platforms.
– Attend relevant briefings, events, or shoots when required (virtual or in-person).
– Maintain open communication with the Creator Network Lead regarding progress, scheduling, or concerns.
BNK Connect agrees to:
– Provide clear briefs, timelines, and creative direction for each campaign.
– Offer feedback, brand materials, and relevant resources to support content creation.
– Credit the Creator in brand campaigns and materials where applicable.
4. CONTENT OWNERSHIP & USAGE RIGHTS
All content created by the Creator under this program remains the intellectual property of the Creator, but BNK Connect is granted a non-exclusive, royalty-free, worldwide license to use, distribute, and repurpose the content across BNK Connect’s marketing channels (social media, website, advertising, print, etc.) for a period of 24 months.
BNK Connect may request edits or reshoots if content does not align with brand standards or campaign guidelines.
5. COMPENSATION & BENEFITS
Compensation will vary per campaign and may include:
– Paid collaborations: Agreed fixed fees or performance-based bonuses per campaign.
– In-kind collaborations: Branded merchandise, event invitations, exposure, or platform perks.
– Ambassador-level campaigns: Cash payment, merchandise, and public spotlight.
BNK Connect will communicate payment terms in writing before the start of each campaign. Payment will be made within 14 business days after approved content submission and invoice receipt.
6. CONDUCT & BRAND REPRESENTATION
The Creator agrees to:
– Uphold professionalism and integrity in all BNK Connect-related activities.
– Avoid posting misleading, offensive, or harmful content while representing the brand.
– Notify BNK Connect immediately of any situation that may negatively affect brand reputation.
BNK Connect reserves the right to terminate this Agreement immediately if the Creator’s behavior, content, or communication compromises the company’s brand image or violates community standards.
7. CONFIDENTIALITY
The Creator agrees to maintain confidentiality regarding all non-public information, including campaign plans, creative briefs, payment details, or unreleased BNK Connect features.
8. INDEPENDENT CONTRACTOR STATUS
The Creator is an independent contractor, not an employee, partner, or representative of BNK Connect. The Creator is responsible for all taxes, insurance, and legal obligations arising from their participation.
9. TERMINATION
Either Party may terminate this Agreement with 30 days’ written notice. BNK Connect may terminate immediately in cases of misconduct, breach of terms, or failure to meet content obligations.
Upon termination: – BNK Connect retains rights to any content already published or submitted. – Pending payments for completed deliverables will be settled within 14 business days.
10. GOVERNING LAW
This Agreement is governed by the laws of the Republic of South Africa. Any disputes will be resolved in Cape Town under South African jurisdiction.
11. ENTIRE AGREEMENT
This document represents the entire understanding between BNK Connect and the Creator and supersedes any prior verbal or written agreements.
